Minimum Subscriptions. At or prior to the Closing, the Company shall have sold Units in the Offering for an aggregate minimum Subscription Amount of Five Million Dollars ($5,000,000), excluding the conversion of Intercreditor Bridge Loans pursuant to the Amendment and Conversion Agreement and conversion of former Intercreditor Bridge Loans pursuant to this Agreement.
