Common use of Mezzanine Borrower’s Knowledge Clause in Contracts

Mezzanine Borrower’s Knowledge. Whenever a representation or warranty is made “to Mezzanine Borrower’s knowledge,” “to Mezzanine Borrower’s best knowledge,” “to Master Lessee’s knowledge,” “to Master Lessee’s best knowledge,” or a term of similar import, such term shall mean the current actual knowledge of each of Xxxxxx Xxxxx and Xxxxxxx Xxxxxxxx, in each case after reasonable diligence, and of Mezzanine Borrower’s or Master Lessee’s, as applicable, respective executive officers (other than Xxxxxx Xxxxx) and directors who have actual knowledge of the relevant subject matter.
