Common use of Metering Requirements Clause in Contracts

Metering Requirements. (a) Meters. The amount of Discharging Energy to be transferred from Seller to Buyer at the Delivery Point with respect to a Settlement Interval will be determined based on measurements at the Interconnection Point made by the Project’s Metering Facilities. The amount of Charging Energy to be transferred from Seller to Buyer at the Interconnection Point with respect to a Settlement Interval will be determined based on measurements at the Interconnection Point made by the Project’s Metering Facilities. Seller shall ensure that the Metering Facilities are selected, provided, installed, owned, maintained, and operated in accordance with the Interconnection Agreement at Seller’s or the Transmission Provider’s sole cost and expense, as applicable and in accordance with the requirements of Buyer set forth on Schedule I, subject to any modifications provided by Buyer in writing from time to time. Seller shall ensure that (i) the Metering Facilities are maintained and operated in accordance with Prudent Utility Standards, and (ii) the Meters are tested at least once per Contract Year, Seller’s obligation with respect to clauses (i) and (ii) will be limited to enforcing its rights and remedies under the Interconnection Agreement. Seller shall provide reasonable prior notice to Buyer of the time and date of each test of the Meters and shall permit Buyer to be present at such tests. Seller shall provide Buyer with a copy of the results of any test of the Meters.
