The Memorandum and Articles shall have been duly adopted by all necessary action of the Board of Directors and the shareholders of the Company and shall have been duly filed with the appropriate authority of the Cayman Islands, and such adoption shall have become effective prior to the Closing with no alternation or amendment as of the Closing.
