Common use of Member Tax Information Clause in Contracts

Member Tax Information. Within 90 days after the end of each Taxable Year, the Board or Officers will cause to be delivered to each Person who was a Member at any time during such Taxable Year a Form K-1 and such other information, if any, with respect to the Company, as may be necessary for the preparation of such Member's federal, state and local income tax returns, including a statement showing such Member's share of income, gain or loss, expense and credits for such Taxable Year for federal income tax purposes. Any deficiency for taxes imposed on any Member (including penalties, additions to tax or interest imposed with respect to such taxes) shall be paid by such Member, and if paid by the Company, shall be recoverable from such Member pursuant to Section 6.9.
