Maximums Clause Samples

The "Maximums" clause sets an upper limit on certain obligations, liabilities, or entitlements within a contract. For example, it may cap the total amount a party must pay for damages, restrict the maximum quantity of goods to be delivered, or limit the number of service hours provided. By establishing these ceilings, the clause provides predictability and protects parties from excessive or unforeseen exposure, ensuring that contractual risks remain manageable and clearly defined.
Maximums i. A maximum of one (1) low incidence student with special needs, whose need has not been adequately compensated through the use of adaptive devices, may be enrolled in a regular class. ii. A maximum of three (3) high incidence students with special needs may be enrolled in a regular class. Students shall be designated as high incidence students only for those instructional settings in which their IEP recommends significant adaptation of the curriculum or classroom practices for that setting. iii. In schools where a district special class of low incidence students is established, a maximum of two (2) of these students may be included in a regular class for short periods when the education assistant(s) assigned to the special class or another staff member accompany the student(s) to assist the classroom teacher. iv. In schools where a district special class of high incidence students is established, a maximum of two (2) of these students may be included in a regular class. The education assistant(s) assigned to the special class or another staff member will be available to accompany the student(s) on an as needed basis in order to assist the classroom teacher. v. A maximum of three (3) identified students with special needs, as per Article D.2.1, may be included in any one regular class from Articles D.2.5.b.i through D.2.5.b.iv. Where identified students with special needs are placed in a regular classroom, class size and composition shall be given priority consideration and best efforts shall be made to maintain class size levels below the maximums in Article D.1.2. vi. In assigning identified students with special needs to regular classes, it is expected that the School Based Team, in consultation with classroom teachers, will ensure that the students are distributed fairly and equitably given the nature and severity of their needs.

Maximums. A) Except for Damages arising as a result of (i) an Excluded Matter or (ii), as provided in Section 8.2(c)(iii)(B), the Company Parties shall not be liable to the Purchaser Indemnified Parties for indemnification under Section 8.2(a)(i) in excess of the Threshold, which is the maximum aggregate amount of indemnifiable Damages that may be recovered by the Purchaser Indemnified Parties from the Company Parties pursuant to Section 8.2(a)(i), and the Purchaser Indemnified Parties’ sole recourse in respect of such Damages in excess of the Threshold shall be to make and pursue claims under the R&W Insurance Policy. B) Other than as result of any Intentional Misrepresentation or Fraud by a Company Party, the maximum aggregate liability of the Company Parties to the Purchaser Indemnified Parties in respect of Damages arising under Section 8.2(a)(i) as result of any misrepresentation, breach or inaccuracy during the applicable survival periods set forth in Section 8.1 of (a) any representation or warranty made in Section 3.13 (Employee Benefits), Section 3.20 (Health Care Regulatory Compliance) or Section 3.21 (HIPAA and Privacy Laws) (the “Additional Representations”) is $5,500,000 (such amount in excess of the maximum amount of coverage supplied by the R&W Insurance Policy) (the “Seller Cap”), and (b) any Fundamental Representations or any representation or warranty made in Section 3.16 (Taxes) (the “Fundamental and Tax Representations”) is an amount equal to the sum of the Cash Purchase Price and the Contingent Amount (if any) paid pursuant to Section 2.2 (the “Fundamental and Tax Cap”); provided, however, that the Purchaser Indemnified Parties shall not be entitled to indemnification from the Company Parties in respect of such Damages arising under Section 8.2(a)(i) as result of any misrepresentation, breach or inaccuracy of the Additional Representations or Fundamental and Tax Representations unless (i) the maximum aggregate recovery received by the Purchaser Indemnified Parties from the R&W Insurance Policy in respect of such Damages is insufficient to satisfy the full amount thereof (and, for the avoidance of doubt, only such amount in excess of the maximum amount of coverage supplied by the R&W Insurance Policy shall be considered Damages for purposes of this provision), or (ii) the insurer providing coverage under the R&W Insurance Policy has indicated to the Purchasers in writing (after reasonable pursuit by the Purchasers of such claim under the R&W Insu...
