Common use of Materiality Scrape Clause in Contracts

Materiality Scrape. For purposes of this Article VIII, any inaccuracy in or breach of any representation or warranty and the amount of any Losses in connection therewith shall be determined without regard to any materiality, Material Adverse Effect or other similar qualification contained in or otherwise applicable to such representation or warranty.

For purposes of this Article ARTICLE VIII, including for purposes of determining the existence of any inaccuracy in or breach of any representation or warranty and for calculating the amount of any Losses with respect thereto, any inaccuracy in or breach of any representation or warranty and the amount of any Losses in connection therewith shall be determined without regard to any materiality, Material Adverse Effect or other similar qualification Materiality Qualifier contained in or otherwise applicable to such representation or warranty.

For Solely for purposes of calculating the amount of Losses related to this Article VIIIVII, any inaccuracy in or breach of any representation or warranty and the amount of any Losses in connection therewith shall be determined without regard to any materiality, Material Adverse Effect or other similar qualification contained in or otherwise applicable to such representation or warranty. For the avoidance of doubt, such qualifications shall not be disregarded for any other purposes, including for the purpose of determining whether there has been an inaccuracy in or breach of such representation or warranty.
