Common use of Materiality Scrape Clause in Contracts

Materiality Scrape. For purposes of this ARTICLE VIII, including for purposes of determining the existence of any inaccuracy in or breach of any representation or warranty and for calculating the amount of any Losses with respect thereto, any inaccuracy in or breach of any representation or warranty shall be determined without regard to any Materiality Qualifier contained in or otherwise applicable to such representation or warranty.

Materiality Scrape. For purposes of this ARTICLE VIII, including Article VII (solely for purposes of determining the existence of any inaccuracy in in, or breach of of, any representation or warranty and for calculating the amount of any Losses with respect theretowarranty), any inaccuracy in or breach of any representation or warranty shall be determined without regard to any Materiality Qualifier materiality, Material Adverse Effect or other similar qualification contained in or otherwise applicable to such representation or warranty.

Materiality Scrape. For purposes of this ARTICLE Article VIII, including for purposes of determining the existence of any inaccuracy in or breach of any representation or warranty and for calculating the amount of any Losses with respect thereto, any inaccuracy in or breach of any representation or warranty connection therewith shall be determined without regard to any Materiality Qualifier materiality, Material Adverse Effect or other similar qualification contained in or otherwise applicable to such representation or warranty.

Materiality Scrape. For purposes of this ARTICLE VIII, including for purposes of determining the existence of Article XII any inaccuracy in or breach of any representation and warranty in Article III or warranty and for calculating Article IV, as the amount of any Losses with respect theretocase may be, any inaccuracy in or breach of any representation or warranty shall be determined without regard to any Materiality Qualifier materiality or Material Adverse Effect qualification contained in or otherwise the applicable to such representation or warranty.
