Common use of Material Project Agreements Clause in Contracts

Material Project Agreements. The Principal Borrower shall, and shall cause each of the other Obligors to: (i) perform and observe all the material terms and provisions of each Material Project Agreement to be performed or observed by it except to the extent the failure to so perform or observe such terms and provisions would not reasonably be expected to have a Material Adverse Effect; (ii) use all commercially reasonable efforts to deliver a Consent and Acknowledgment (Shipper) from each of the counterparties to the Material Transportation Services Agreements and from each of the counterparties to the Material EPC Agreements (and, in any event, subject to compliance with Section 3.3(d)(ii)); and (iii) enforce its rights and remedies under each such Material Project Agreement in accordance with its terms to the extent necessary to achieve Project Completion by the Outside Date.
