Common use of Material Payments Clause in Contracts

Material Payments. The Borrower shall not, nor shall it suffer or permit any other Company to, make any material payments to any shareholder, Affiliate or executive, other than commercially reasonable salaries and employment bonuses that are consistent with past company practices, without the prior written approval of the Agent, with the consent of the Majority Lenders, which approval shall not be unreasonably withheld.
