Material Inside Information. In the course of performing the obligations hereunder, Xx. Xxxxxxx recognizes that he may receive certain information that is considered material nonpublic information within the meaning and intent of the Federal and State securities laws, rules and regulations. Xx. Xxxxxxx hereby agrees not to engage in any securities trading transactions based upon such information nor disclose any such information to any third party that may or could engage in transactions involving the securities of MedicalCV.
