Common use of Material Errors Clause in Contracts

Material Errors. Buyer shall not have discovered any material (i) error, misstatement or omission in any of the representations or warranties made by Seller in this Agreement, or any certificate, schedule, exhibit statement, report or other documents delivered or furnished by Seller pursuant to this Agreement, or (ii) failure on the part of Seller to perform or satisfy any covenants or conditions required to be performed or satisfied by Seller under this Agreement.
