Mascoma Background Technology. Mascoma will own (i) any and all technology and intellectual property owned or controlled by Mascoma as of the Effective Date of this Agreement (“Mascoma Background Technology”), and (ii) any and all improvements, modifications, and derivative works to the Mascoma Background Technology developed under this Agreement, whether developed by Mascoma, ICM. or jointly by the Parties.
