Management; General Principles. The business and affairs of the Company shall be managed by a Board of Directors (Conselho de Administração) and an Executive Committee (Diretoria), which shall operate under the supervision of the Board of Directors, in accordance with the Brazilian Corporate Law and pursuant to the terms and conditions contained herein and in the By-laws.
