Management Committee Direction. The Operator shall manage and carry out the Mining Operations as the Management Committee may direct and in connection with it shall, in advance, if reasonably possible notify the Management Committee of any change in Mining Operations which the Operator considers material and if it is not reasonably possible, the Operator shall notify the Management Committee as soon as is reasonably possible.
Management Committee Direction. Each party shall abide by the directions and plans of the Management Committee. The management process agreed to by the parties hereto shall be as described in Exhibit 10.3 hereto.
Management Committee Direction. Decisions of the Management Committee will be made by consensus and shall binding on the parties only when such decisions are in writing and signed by all Management Committee members of both Client and Fiserv.
