Major Project Documents. True, correct and complete copies of all Major Project Documents together with all amendments, modifications or supplements thereof as currently in effect have been delivered to the Purchasers. Each Major Project Document is in full force and effect and, to the Company’s Knowledge, no breaches or defaults have occurred and are continuing thereunder.

Major Project Documents. The Borrower and each applicable Guarantor shall have executed and delivered the Major Project Documents to which it is a party and each such Major Project Document shall be in full force and effect prior to, or shall become in full force and effect simultaneously with, the Closing Date, on substantially the terms described in the Bank Book and other terms reasonably satisfactory to the Administrative Agent.
Major Project Documents. The Administrative Agent shall have received copies of each Major Project Document executed on or prior to the Closing Date (together with all amendments, supplements, exhibits, annexes and schedules thereto), each of which shall have been duly authorized, executed and delivered by an Authorized Officer of the Borrower and an officer of each counterparty to the Project Documents. The Administrative Agent shall have received a certificate executed by an Authorized Officer of the Borrower, dated the Closing Date, certifying that the Major Project Documents delivered to the Administrative Agent are true, correct and complete copies of such documents as of the Closing Date and are in full force and effect. Unless otherwise indicated in a Direct Agreement with an Offtaker, Borrower and/or Collateral Agent shall deliver payment account notices to each Offtaker.

Major Project Documents. (a) Any party (other than the Borrower) to a Major Project Document does not comply with any provision of that agreement and such breach is not cured, waived or otherwise remedied within the applicable cure period set for in such agreement and such event has or would reasonably be expected to have a Material Adverse Effect and substitute arrangements satisfactory to the Lender are not put in place, or the breach is not cured, waived or remedied, in each case within sixty (60) days from such breach.

Major Project Documents. Borrower shall have entered into each of the Major Project Documents on terms consistent with the Project Budget and Project Schedule and, with respect to any Major Project Documents that had not been executed by, or have been amended in any material respect since, the Execution Date, otherwise in form and substance acceptable to Lender.
