Common use of Maintenance of Agencies Clause in Contracts

Maintenance of Agencies. (a) There shall at all times be ----------------------- maintained in the Borough of Manhattan, The City of New York, an office or agency where Certificates may be presented or surrendered for registration of transfer or for exchange, and for payment thereof and where notices and demands to or upon the Certificate Trustee on behalf of the Trust in respect of the Certificates or of this Trust Agreement may be served. At no time shall there be any other such office or agency outside the United States. Such office or agency shall be initially at Bankers Trust Company, Corporate Trust and Agency Services, Xxxx Xxxxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx 00000. Written notice of any change of location thereof shall be given by the Certificate Trustee on behalf of the Trust to the Originator, the Note Trustee, the Note Issuer, the Certificateholders and the Rating Agencies. In the event that no such office or agency shall be maintained or no such notice of location or of change of location shall be given, presentations and demands may be made and notices may be served at the Corporate Trust Office of the Certificate Trustee.

Written notice of any change of location thereof shall be given by the Certificate Trustee on behalf of the Trust to the OriginatorCertificate Issuer, the Note TrusteeBond Trustees, the Note IssuerBond Issuers, the Certificateholders and the Rating Agencies.
