Machine Shop Refurbishment Allowance. Tenant, at its sole cost and expense, shall be solely responsible for constructing and paying for all improvements and alterations for the Machine Shop Space, except that Landlord shall make available to Tenant the Machine Shop Refurbishment Allowance pursuant to the provisions of Section 8.4 below.
Machine Shop Refurbishment Allowance. In connection with Tenant's leasing of the Machine Shop Space, Landlord shall, pursuant to Section 8.4 of the Lease, provide Tenant with the Machine Shop Refurbishment Allowance; provided, however, and notwithstanding anything in Section 8.4 of the Lease to the contrary, the Refurbishment Allowance Availability Period, as it relates to the Machine Shop Space, shall commence no earlier than July 1, 2004 and shall continue until the last day of the initial Lease Term. As such, in no event shall Landlord be obligated to disburse any portion of the Machine Shop Refurbishment Allowance to Tenant before July 1, 2004. Notwithstanding the foregoing and anything in this Second Amendment or the Lease to the contrary, Tenant may use the Initial Premises Refurbishment Allowance and/or the Must-Take Refurbishment Allowance, in Tenant's sole discretion, to conduct Refurbishing Work pertaining to the Machine Shop Space at any time prior to July 1, 2004, and Landlord shall make disbursements from those Refurbishment Allowances for such Refurbishing Work pertaining to the Machine Shop Space in accordance with the procedures set forth in Section 8.4 of the Lease. In the event Landlord is obligated, pursuant to and subject to, Section 8.4 of the Lease to disburse the Machine Shop Refurbishment Allowance and Landlord fails to so disburse the Machine Shop Refurbishment Allowance beyond the thirty (30) day period as provided in Section 8.4 of the Lease, then Landlord acknowledges and agrees that the Machine Shop Refurbishment Allowance (for such work or portion thereof that Landlord failed to disburse) shall bear interest at the Interest Rate, accruing during the period from the expiration of such thirty (30) day period through and including the date Landlord disburses the Machine Shop Refurbishment Allowance to Tenant for such work; and such interest shall be in addition to all of Tenant's other rights and remedies hereunder and under the Lease, at law and/or in equity, and shall not be construed as liquidated damages or as limiting Tenant's remedies in any manner. The disbursement of the Machine Shop Refurbishment Allowance shall, in any event, be subject to all the other terms and conditions in Section 8.4 of the Original Lease.
