Common use of Location of Offices Clause in Contracts

Location of Offices. The Borrower’s location (within the meaning of Article 9 of the UCC) is Delaware. The Borrower’s principal place of business and chief executive office and the office where the Borrower keeps all the Records not held by the Collateral Custodian is located at the address of the Borrower referred to in Schedule IV hereof (or at such other locations as to which the notice and other requirements specified in Section 5.1(m) shall have been satisfied). The Borrower has not changed its name, whether by amendment of its certificate of formation, by reorganization or otherwise, or its jurisdiction of organization and has not changed its location within the period commencing on the date of formation of the Borrower and ending on the Effective Date.

The Such Borrower’s principal place of business and chief executive office and the office where the such Borrower keeps all the Records not held by the Collateral Custodian its records is located at the address of the such Borrower referred to in Schedule IV 1 hereof (or at such other locations as to which the notice and other requirements specified in Section 5.1(m5.02(g) (Change of Name or Jurisdiction of Borrower; Records) shall have been satisfied). The Such Borrower has not changed its name, whether by amendment of its certificate of formation, by reorganization or otherwise, or its jurisdiction of organization and has not changed its location within the period commencing on the date of formation of the such Borrower and ending on the Effective Closing Date.
