Common use of Litigation Cooperation Clause in Contracts

Litigation Cooperation. Should any third-party suit or proceeding be instituted by or against Coast with respect to any Collateral or relating to Borrower, Borrower shall, without expense to Coast, make available Borrower and its officers, employees and agents and Borrower's books and records, to the extent that Coast may deem them reasonably necessary in order to prosecute or defend any such suit or proceeding.

Litigation Cooperation. Should any third-party suit or proceeding be instituted by or against Coast with respect to any Collateral or relating to Borrower, Borrower shall, without expense to Coast, make available Borrower and its officers, employees and agents and Borrower's books and records, to the extent that Coast may may, deem them reasonably necessary in order to prosecute or defend any such suit or proceeding.

Should any third-party suit or proceeding be instituted by or Coast Business Credit Loan and Security Agreement _______________________________________________________________________________ against Coast with respect to any Collateral or relating to Borrower, Borrower shall, without expense to Coast, make available Borrower and its officers, employees and agents and Borrower's books and records, to the extent that Coast may deem them reasonably necessary in order to prosecute or defend any such suit or proceeding.

Should any third-party suit or proceeding be instituted by or against Coast with respect to any Collateral or relating to Borrower, Borrower shall, without expense to Coast, make available Borrower and its officers, employees and agents and an Borrower's books and records, to the extent that Coast may deem them reasonably necessary in order to prosecute or defend any such suit or proceeding.

Should any third-party suit or proceeding be instituted by or against Coast with respect to any Collateral or relating to BorrowerBorrower which reasonably would be likely to result in a Material Adverse Effect, Borrower shall, without expense to Coast, make available Borrower and its officers, employees and agents and Borrower's books and records, to the extent that Coast may deem them reasonably necessary in order to prosecute or defend any such suit or proceeding.

Litigation Cooperation. Should any third-party suit or proceeding be instituted by or against Coast with respect to any Collateral or relating to Borrowera Borrower or ONE, such Borrower or ONE shall, without expense to Coast, make available such Borrower or ONE, as the case may be, and its officers, employees and agents and such Borrower's or ONE's books and records, to the extent that Coast may deem them reasonably necessary in order to prosecute or defend any such suit or proceeding.

Should any third-party suit or proceeding be instituted by or against Coast with respect to any Collateral or relating to Borrower, Borrower shall, without expense to Coast, make available Borrower and its officers, employees and agents and Borrower's books and records, to the extent that Coast may deem them reasonably necessary in order to prosecute or defend any such suit or COAST BUSINESS CREDIT LOAN AND SECURITY AGREEMENT -------------------------------------------------------- proceeding.

Should any third-party suit or proceeding be instituted by or against Coast with respect to any Collateral or relating to Borrower, Borrower shall, so long as the interests of Borrower and Coast in such proceeding or suit are not adverse, without expense to Coast, make available Borrower and its officers, employees and agents and Borrower's books and records, to the extent that Coast may deem them reasonably necessary in order to prosecute or defend any such suit or proceeding.

Litigation Cooperation. Should any third-party suit or proceeding be instituted by or against Coast with respect to any of Borrower's Collateral and/or Co-Borrower's Collateral or relating to Borrower and/or Co-Borrower, Borrower and Co-Borrower shall, without expense to Coast, make available Borrower and its available, their respective officers, employees and agents agents, and Borrower's their respective books and records, to the extent that Coast may deem them reasonably necessary in order to prosecute or defend any such suit or proceeding.
