Common use of Litigation and Regulatory Cooperation Clause in Contracts

Litigation and Regulatory Cooperation. During and after the ------------------------------------- Executive's employment, the Executive shall cooperate fully with the Company in the defense or prosecution of any claims or actions now in existence or which may be brought in the future against or on behalf of the Company which relate to events or occurrences that transpired while the Executive was employed by the Company. The Executive's full cooperation in connection with such claims or actions shall include, but not be limited to, being available to meet with counsel to prepare for discovery or trial and to act as a witness on behalf of the Company at mutually convenient times. During and after the Executive's employment, the Executive also shall cooperate fully with the Company in connection with any investigation or review of any federal, state or local regulatory authority as any such investigation or review relates to events or occurrences that transpired while the Executive was employed by the Company. The Company shall reimburse the Executive for any reasonable out-of-pocket expenses incurred in connection with the Executive's performance of obligations pursuant to this Section 11. This Section 11 shall survive the termination of this Agreement for any reason.

The Company Corporations shall reimburse the Executive for any reasonable out-of-pocket expenses incurred in connection with the Executive's ’s performance of obligations pursuant to this Section 11. This Section 11 shall survive the termination of this Agreement for any reason7(f).

This Section 11 shall survive The performance by the Executive under this subsection (xi) after the termination of this Agreement for any reasonthe Executive's employment with the Corporation shall be subject to his other employment obligations.

The Executive's full cooperation in connection with such claims or actions shall include, but not be limited to, being available to meet with counsel to prepare for discovery or trial and to act as a witness on behalf of the Company and its Affiliates at mutually convenient times. During and after the Executive's employment, the Executive also shall cooperate fully with the Company and its Affiliates in connection with any such investigation or review of any federal, state or local regulatory authority as any such investigation or review relates to events or occurrences that transpired while the Executive was employed by the Company. The Company shall reimburse the Executive for any reasonable out-of-pocket expenses incurred in connection with the Executive's performance of obligations pursuant to this Section 11Section. This Section 11 shall survive Following the termination of Executive’s employment, if requested by the Company, Executive shall use his commercially reasonable efforts to assist the Company and its Affiliates in connection with the matters described in this Agreement for any reasonSection 18, subject to his other employment obligations.

During and after the Executive's ’s employment, the Executive also shall reasonably cooperate fully with the Company in connection with any investigation or review of any federal, state or local regulatory authority as any such investigation or review relates to events or occurrences that transpired while the Executive was employed by the Company. The Company shall reimburse the Executive for any reasonable out-of-pocket expenses incurred in connection with the Executive's ’s performance of obligations pursuant to this Section 11. This Section 11 shall survive the termination of this Agreement for any reason9(b).

The Company shall reimburse the Executive for any reasonable out-of-pocket out‑of‑pocket expenses incurred in connection with the Executive's ’s performance of obligations pursuant to this Section 119. This Notwithstanding anything to the contrary in this Section 11 9, to the extent possible, the Company shall survive take into consideration Executive’s prior commitments and shall provide advance notice to Executive on cooperation needed from the termination of Executive under this Agreement for any reasonSection 9.

The Company shall reimburse the Executive for any reasonable out-of-pocket expenses incurred in connection with the Executive's ’s performance of obligations pursuant to this Section 11. This Section 11 shall survive the Paragraph and if after termination of this Agreement the Executive’s employment with the Company, will compensate the Executive at a reasonable hourly rate for any reasonhis time and effort in connection with such performance.
