(a) such termination is not attributable to a tenant default thereunder, and
(b) there exists hereunder no Event of Default, nor any event or circumstance that could ripen into an Event of Default, then, Landlord shall not, during the Term, permit the space that is subject to the Brewery Lease, or any portion thereof, to be used for the manufacture, marketing, promotion, sale or distribution of any soda or alcoholic beverage (other than whisky or other spirits), unless Landlord shall have first obtained Tenant's prior written consent thereto, which consent shall not be unreasonably withheld, conditioned or delayed.
