Nothing in this Agreement, whether express (other than Section 12.07) or implied (except for Section 7.04)implied, shall be construed to give to any Person other than the Trust, the Trustees, the Grantor and any Owner Trustee and the Certificateholders any legal or equitable right right, remedy or claim in or to the Trust Estate or Property or, except for the Grantor and any Owner, under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Nothing in this Agreement, Trust Agreement whether express or implied (except for Section 7.04)implied, shall be construed to give to any Person Person, other than the Owner Trustee and the Certificateholders Holder, any legal or equitable right in the Trust Estate right, remedy or claim under or in respect of this Agreement or Trust Agreement, any covenants, conditions or provisions contained hereinherein or in the Trust Estate; but this Trust Agreement shall be held for the sole and exclusive benefit of the Owner Trustee and the Holder.

Nothing in this Agreement, whether express or implied (except for Section 7.04)implied, shall be construed to give to any Person person other than the Owner Trustee Trustee, the Reimbursement and Disclosure Agent and, the Certificate Holder and, to the extent expressly provided herein, the Lenders, [Pronghorn] and the Certificateholders Sponsor any legal or equitable right right, remedy or claim in the Trust Estate Property or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Nothing in this Agreement, whether express or implied (except for Section 7.04)implied, shall be construed to give to any Person person other than WTC or the Owner Trustee Trustee, as the case may be, and the Certificateholders Owners any legal or equitable right in the Trust Estate Property or under or in respect of this Agreement or any covenants, conditions or provisions contained herein; provided; however, that the Trustee and the Noteholders are third party beneficiaries hereof.

Limitations on Rights of Others. Nothing in this Agreement, whether express or implied (except for Section 7.04)implied, shall be construed to give to any Person person other than the Owner Trustee Trustee, the Co-Trustees and the Certificateholders Certificateholder any legal or equitable right right, remedy or claim in the Trust Estate Property or under or or, except as provided in Section 7.08(a) hereof with respect to creditors of the Trust, in respect of this Agreement or any covenants, conditions or provisions contained herein.
