Common use of Limitations of Power of Attorney Clause in Contracts

Limitations of Power of Attorney. No document or amendment executed by the General Partner pursuant to this Article VII shall, in the absence of the prior consent of all of the Limited Partners, (i) materially reduce the obligations of the General Partner; (ii) affect the rights or restrictions regarding the assignability of Partnership Interests of Limited Partners; (iii) materially modify the term of the Partnership; (iv) amend this Article VII; or (v) materially reduce the rights or interests or enlarge the obligations of the Limited Partners except as otherwise contemplated herein.
