The Buyer agrees that beginning on the date of this Agreement and ending on the date of termination of this Agreement as provided in Section 11(k), the Buyer and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “short sale” (as such term is defined in Section 242.200 of Regulation SHO of the 0000 Xxx) of the Common Stock or (ii) hedging transaction, which establishes a net short position with respect to the Common Stock.

Limitation on Short Sales and Hedging Transactions. The Buyer agrees that beginning on the date of this Agreement and ending on the date of termination of this Agreement as provided in Section 11(k), the Buyer and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “"short sale” " (as such term is defined in Section 242.200 of Regulation SHO Rule 3b-3 of the 0000 1930 Xxx) of xf the Common Stock or (ii) hedging transaction, which establishes a net short position with respect to the Common Stock.

Limitation on Short Sales and Hedging Transactions. The Buyer Investor agrees that that, beginning on the date of this Agreement and ending on the date of termination of this Agreement as provided in Section 11(k)11, the Buyer Investor and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “short sale” (including any “short exempt”) (as such term is terms are defined in Section 242.200 Rule 200 of Regulation SHO of the 0000 XxxExchange Act) of the Common Stock or (ii) hedging transaction, which establishes a net short position with respect to the Common Stock.

Limitation on Short Sales and Hedging Transactions. The Buyer agrees that beginning on the date of this Agreement and ending on the date of termination of this Agreement as provided in Section 11(k), the Buyer and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “"short sale” " (as such term is defined in Section 242.200 of Regulation SHO Rule 3b-3 of the 0000 Xxx1934 Act) of the Common Stock or (ii) hedging transaction, which establishes xxxxxxxshes a net short position with respect to the Common Stock.

The Buyer agrees that beginning on the date of this Agreement and ending on the later of (x) the date of termination of this Agreement as provided in Section 11(k)) or (y) so long as the Buyer owes any Commitment Shares or Purchase Shares, the Buyer and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “short sale” (as such term is defined in Section 242.200 of Regulation SHO of the 0000 Xxx) of the Common Stock or any stock or (ii) hedging transaction, which establishes a net short position with respect to the Common Stock.

The Buyer agrees that beginning on 90 days prior to the date of this Agreement Execution Date and ending on the 90th date of termination of this Agreement as provided in Section 11(k)Agreement, the Buyer and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “short sale” (as such term is defined in Section 242.200 of Regulation SHO of the 0000 Xxx) of the Common Stock or (ii) hedging transaction, which establishes a net short position with respect to the Common Stock.

Limitation on Short Sales and Hedging Transactions. The Buyer Each Purchaser severally, and not jointly, agrees that beginning on the date of this Agreement and ending on the date of termination of this Agreement as provided in Section 11(k), the Buyer such Purchaser no longer owns any Securities that it and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “short sale” (as such term is defined in Section 242.200 of Regulation SHO of the 0000 Xxx) of the Common Stock Securities or (ii) hedging transaction, which establishes a net short position with respect to the Common StockSecurities.

Limitation on Short Sales and Hedging Transactions. The Buyer Investor agrees that beginning on the date of this Agreement and ending on the date of termination of this Agreement as provided in Section 11(k)11, the Buyer Investor and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “"short sale” " (as such term is defined in Section 242.200 of Regulation SHO of the 0000 XxxExchange Act) of the Common Stock or or, (ii) hedging transaction, which establishes a net short position with respect to the Common Stock.
