Common use of Limitation on Business Clause in Contracts

Limitation on Business. (a) Vencor will at all times own 100% of the outstanding Equity Interests of the Issuer and will not engage in any activities other than owning such Equity Interests and Equity Interests in Cornerstone and other Subsidiaries that own, operate or manage Healthcare Facilities, and financing activities and other activities reasonably related to such ownership.

(a) Vencor will at all times own 100% of the outstanding Equity Interests of the Issuer Borrower and will not engage in any activities other than owning such Equity Interests and Equity Interests in Cornerstone and other Subsidiaries that own, operate or manage Healthcare Facilities, and financing activities and other activities reasonably related to such ownership.

(a) Vencor will at all times own 100% of the outstanding Equity Interests capital stock of the Issuer Borrower and will not engage in any activities other than owning such Equity Interests and Equity Interests in Cornerstone and other Subsidiaries that own, operate or manage Healthcare Facilities, capital stock and financing activities and other activities reasonably related to such ownership.

(a) Vencor will at all times own own, directly or indirectly, 100% of the outstanding Equity Interests of the Issuer Borrowers and will not engage in any activities other than owning such Equity Interests and Equity Interests in Cornerstone and other Vencor Subsidiaries that own, operate or manage Healthcare Facilities, and financing activities and other activities reasonably related to such ownership.
