Licensor grants to Licensee a non-exclusive, non-transferable, perpetual license (the “License”) to install this Product within the country (or in the case of a country within the European Union within the European Union) specified by Licensee’s ship to address provided by Licensee in the ordering documentation for the Product at the time of purchase (“Licensed Country”) and solely for the development of software programs and/or management of its internal systems and data in the following manner:
Licensor grants to Licensee a royalty-free non-exclusive license to use any of the Licensor's Materials for the purposes of this Agreement.
Licensor grants. Licensor, on behalf of itself and its Affiliates, hereby grants to Licensee, under the Licensed IP, an exclusive (even as to Licensor and its Affiliates), transferable, fully sublicensable (through multiple tiers), fully paid-up and royalty-free, perpetual, irrevocable, worldwide right and license to: (i) use and reference all Licensed Know-How and Technological Information to prepare for, support, obtain or maintain any Regulatory Filings or Regulatory Approvals made by or for Licensee or any of its Affiliates for a Product in the Field anywhere in the Territory; and (ii) Develop, Promote, and Commercialize any and all Products in the Field throughout the Territory.
Licensor grants. In exchange for the consideration provided in this Agreement, including but not limited to that provided in Article 3, Licensor, on behalf of itself and its Affiliates, hereby grants to Licensee: (i) an exclusive (even as to Licensor and its Affiliates), non-transferable (other than in accordance with Section 12.8), fully sublicensable (through multiple tiers), perpetual and irrevocable (except as otherwise expressly set forth herein) right and license (a) to use and to reference all Licensed Know-How and Technological Information in preparing for, supporting, obtaining or maintaining any Regulatory Filings or Regulatory Approvals made by or for Licensee, or any of its Affiliates solely for Licensed Products for use in the Field in the Territory, and (b) to Promote, Commercialize and otherwise exploit any and all Licensed Products in the Field throughout the Territory, including to the Licensed IP for the exclusive right to use, offer for sale, sell, import, and export Licensed Products in the Territory for use in the Field; and (ii) a non-exclusive, non-transferable (other than in accordance with Section 12.8), fully sublicensable (through multiple tiers) to any Third Party other than a Competitor (except that Licensee may sublicense the right to manufacture and supply to a Competitor (a) if Licensee and Licensor do not execute a Supply Agreement or (b) if Licensor fails to supply all of Licensee’s commercially reasonable requirements of Licensed Products following reasonable notice of such requirements, or if agreed to by the Parties, and only if agreed to by the Parties with respect to New Products that utilize another wafer-based delivery platform that is not WaferiX), perpetual and irrevocable (except as otherwise expressly set forth herein), right and license to the Licensed IP in order to (a) Develop the Licensed Products in the Field anywhere in the world, except any Development related to Clinical Studies is restricted to the Territory, and (b) Manufacture the Licensed Products anywhere in the world for use in the Field in the Territory, including the non-exclusive right to make; and (iii) a non-exclusive, transferable, fully sublicensable (through multiple tiers), perpetual and irrevocable (except as expressly set forth herein), right and license to use the Licensed Trademarks to Promote, Commercialize or otherwise exploit any and all Licensed Products in the Territories for use in the Field.
Licensor grants to Licensee a non-exclusive, non-transferable, perpetual license (the "License") to install this Product within the country (or in the case of a country within the European Union within the European Union) specified by Licensee's ship to address provided by Licensee in the ordering documentation for the Product at the time of purchase ("Licensed Country") in accordance with the license type for the specific edition of the Product as described in Section 25. Except where prohibited by applicable law, transfer of the Product into a country (or in the case of the European Union, outside the EU) not identified on the ordering documentation at the time of purchase is prohibited and will void the license. Temporary usage of a Product outside the Licensed Country or Territory while a user is travelling, is permitted. Certain editions of the Product may include AppWave, ToolCloud and/or InstantOn features. Additional restrictions applicable to those features may be found in supplemental terms accompanying them.
Licensor grants nunc pro tunc, Licensee and Licensee accepts a ---- --- ---- revocable, royalty-free, non-exclusive license to use and display the Licensed Marks, which license will remain in effect as long as Licensee uses the Licensed Marks in accordance with this Agreement.
Licensor grants to Licensee the right to file for patent protection for the Technology and trademark protection for the Trademark, in the name of Licensor, in all countries of the world, at Licensee's sole cost and expense.
Licensor grants. LICENSEE a license under all present or future patent rights held by LICENSOR that would be infringed upon the use of the Development Software or Run-Time Software as contemplated by this Agreement.
Licensor grants no rights and makes no warranties with regard to the use of names, trademarks, trade dress, registered, unregistered or copyrighted designs or works of art or architecture depicted in any Licensed Material, and Licensee must satisfy itself that all the necessary rights or consents regarding any of the above, as may be required for reproduction, have been obtained.
