Licensing Consideration. In consideration of the rights granted by Antecip to Axsome under this Agreement, Axsome shall pay Antecip the consideration on sales by Axsome, its Affiliates and permitted assigns of the Licensed Product, a royalty equal to 4.5% of Net Sales. These royalty payments shall be made in accordance with Article VII of this Agreement. There shall be no minimum annual royalty payments payable by Axsome to Antecip for the rights set out in this Agreement.
Licensing Consideration. VBL shall pay THM 2% (two percent) of any License Fee received by VBL (the “Licensing Consideration”).

5.14.2 Rayze shall provide to Nimble a copy of the applicable License Agreement together with the Licensing Payment solely for Nimble to verify the amounts of Licensing Payments payable to Nimble hereunder.
Licensing Consideration. 4.1 In consideration of the rights granted by MDRNA to Roche and its Affiliates under this Agreement, Roche shall pay MDRNA the consideration set out in this Article IV.
4.2 As of the Effective Date, a one-time non-refundable execution fee in U.S. currency of five million dollars (US$5,000,000) is due by Roche to MDRNA. Roche shall pay such fee on the Effective Date provided that Roche receives an invoice in such amount from MDRNA on the Effective Date.
4.3 For sales of Licensed Product made by or on behalf of Roche, its Affiliates or Sublicensees during the Royalty Term for such Licensed Product, Roche shall pay to COH a royalty on Net Sales of such Licensed Product equal to [***] percent ([***]%) of such Net Sales.
