Common use of License Registrations Clause in Contracts

License Registrations. GSK may, at its expense, register the License granted hereunder in any country of, or community or association of countries in, the Territory. SGI shall reasonably cooperate in such registration at GSK’s expense. Upon request by GSK, SGI agrees promptly to execute any “short form” licenses developed in a form reasonably acceptable to both GSK and SGI and reasonably submitted to it by GSK from time to time in order to affect the foregoing registration in such country. No such “short form” license will be deemed to amend or be used to interpret this Agreement. If there is any conflict between such a license or other recordation document and this Agreement, this Agreement will control.

Upon request by GSK, SGI Astex agrees promptly to execute any “short form” licenses developed in a form reasonably acceptable to both GSK and SGI Astex and reasonably submitted to it by GSK from time to time in order to affect the foregoing registration in such country. No such “short form” license will be deemed to amend or be used to interpret this Transfer Agreement. If there is any conflict between such a license or other recordation document and this Transfer Agreement, this Transfer Agreement will control.
