Common use of Liability to Third Parties Clause in Contracts

Liability to Third Parties. No Member (including any Member who is a Manager) shall be liable for the debts, obligations or liabilities of the Company, including under a judgment decree or order of a court, by reason of being a Member of the Company.

No Except as provided in this Section 6.01, neither the Member (including nor any employee, director, officer, agent, shareholder, limited partner or general partner of the Member who is a Manager) in his, her or its capacity as such, shall be liable for the debts, obligations or liabilities of the Company, including under a judgment judgment, decree or order of a court, by reason of being a Member or in any other manner, for any debt, obligation or liability of the Company.

No Member (including Except as provided in this Section 9.01, no Member, Director or Officer of the Company or any Member who is a Manager) of their respective Affiliates, or any employee, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his, her or its capacity as such, shall be liable for the debts, obligations or liabilities of the Company, including under a judgment judgment, decree or order of a court, by reason of being a Member or in any other manner, for any debt, obligation or liability of the Company.
