Common use of Letter of Parent's Accountants Clause in Contracts

Letter of Parent's Accountants. The Parent shall use all reasonable efforts to cause to be delivered to Parent a letter of PricewaterhouseCoopers LLP the Parent's independent auditors, dated a date within two business days before the date on which the Registration Statement shall become effective and addressed to the Company, in form and substance reasonably satisfactory to the Company and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Registration Statement.

The Parent shall use all reasonable efforts to cause to be delivered to the Company and Parent a letter of PricewaterhouseCoopers LLP the KPMG LLP, Parent's ’s independent auditors, dated (i) a date within two business days Business Days before the date on which the Registration Statement shall become effective and (ii) the Closing Date, in each case addressed to the CompanyCompany and its directors, in form and substance reasonably satisfactory to the Company and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Registration Statement.

The Parent shall use all commercially reasonable efforts to cause to be delivered to Parent the Company a letter of PricewaterhouseCoopers LLP the LLP, Parent's independent auditorspublic accountants, dated a date within two business days before the date on which the Registration Statement shall become effective and addressed to the Company, in form and substance reasonably satisfactory to the Company and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Registration Statement.
