Common use of Letter of Parent's Accountants Clause in Contracts

Letter of Parent's Accountants. Parent shall use its best commercial efforts to cause to be delivered to the Company a letter of Xxxxx Xxxxxx & Xxxxx, LLP Parent's independent public accountants, dated a date within two (2) Business Days before the date on which the S-4 shall become effective and addressed to the Company, in form and substance reasonably satisfactory to the Company and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4 (and, if requested, a bring-down comfort letter at the closing of the Merger).

If requested by Company, Parent shall use its best commercial reasonable efforts to cause to be delivered to the Company a letter of Xxxxx Xxxxxx Amper, Politziner & XxxxxXxxxxx, LLP P.C., Parent's independent public accountants, dated a date within two (2) Business Days before the date on which the S-4 shall become effective and addressed to the Company, in form and substance reasonably satisfactory to the Company and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4 (and, if requested, a bring-down comfort letter at the closing of the Merger).
