Legality; Governmental Authorization. The purchase of the ------------------------------------ Investor Securities shall not be prohibited by any law or governmental order or regulation, and shall not subject the Investor to any penalty or special tax (other than a penalty or special tax that has been reimbursed by the Company). All necessary consents, approvals, licenses, permits, orders and authorizations of, or registrations, declarations or filings with, any governmental or administrative agency or of any other Person, if any, with respect to any of the transactions contemplated by this Agreement or the other Investor Agreements, the absence of which could have a Material Adverse Effect, shall have been duly obtained or made and shall be in full force and effect.
