Legality; Governmental Authorization. The purchase of the Purchased Securities shall not be prohibited by any law or governmental order or regulation, and shall not subject you to any penalty, special tax, or other onerous condition. All necessary consents, approvals, licenses, permits, orders and authorizations of, or registrations, declarations and filings with, any governmental or administrative agency or of or with any other Person, with respect to any of the transactions contemplated by this Agreement or any of the Related Agreements shall have been duly obtained or made and shall be in full force and effect.

The purchase of the Investor Securities shall not be prohibited by any law or governmental order or regulation, and shall not subject the Investors to any penalty or special tax (other than a penalty or special tax that has been reimbursed by the Company). All necessary consents, approvals, licenses, permits, orders and authorizations of, or registrations, declarations or filings with, any governmental or administrative agency or of any other Person, if any, with respect to any of the transactions contemplated by this Agreement or the Investor Agreements, the absence of which could have a Material Adverse Effect, shall have been duly obtained or made and shall be in full force and effect.

All material consents, approvals, licenses, permits, orders and authorizations of, or registrations, declarations and filings with, any governmental or administrative agency or of or with any third party, with respect to any of the transactions contemplated by this Agreement to be performed at the Third Closing which must be obtained by the Purchaser shall have been duly obtained or made and shall be in full force and effect.

All necessary consents, approvals, licenses, permits, orders and authorizations of, or registrations, declarations and filings with, any governmental or administrative agency or of or with any other Person (including without limitation, any consents required under any material contracts) required to be provided or obtained prior to the Closing Date and with respect to any of the transactions contemplated by this Agreement or any of the Related Agreements shall have been duly obtained or made and shall be in full force and effect. BankBoston shall have received copies of all necessary regulatory approvals and evidence of compliance with all state and federal laws, including but not limited to Regulation U and state and federal securities laws, applicable to any of the parties to the transactions.

The Major Holders shall have received evidence reasonably satisfactory to them that all consents, approvals, licenses, permits, orders and authorizations of, or registrations, declarations and filings with, any governmental or administrative agency or of or with any other Person required to be provided or obtained prior to the Closing Date and with respect to any of the transactions contemplated by this Agreement or any of the Related Agreements shall have been duly obtained or made and shall be in full force and effect, except where the failure to do so would not have a Material Adverse Effect.
