Legal Power and Authority. Seller has full power and authority to enter into this Agreement and to perform all acts and to do all things required on its part to be performed in connection with this Agreement and the transactions contemplated hereby, and has granted full power and authority to its appropriate officers to take all actions, to do all things and to make, execute and deliver all documents as may be necessary or required in order to effectuate and consummate the transactions contemplated hereby.
