Common use of Legal Expense Clause in Contracts

Legal Expense. If, with respect to any alleged failure by ------------- Employer to comply subsequent to a Change in Control with any of the terms of this Agreement and regardless of whether Executive is successful, Executive hires legal counsel with respect to this Agreement or institutes any negotiation or institutes or responds to legal action to assert or defend the validity of, enforce his rights under, or recover damages for breach of this Agreement, Employer shall pay, as they are incurred, Executive's actual expenses for attorneys' fees and disbursements, together with such additional payments, if any, as may be necessary so that net after tax payments to Executive equal such fees and disbursements.
