Legal and Accounting Fees and Expenses. The Company shall pay all legal and accounting fees and expenses incurred by Employee in disputing in good faith any issue hereunder relating to the termination of Employee's employment, in seeking in good faith to obtain or enforce any benefit or right provided by this Agreement on in connection with any actual or threatened tax audit or proceeding to the extent attributable to the application of section 4999 of the Code to any payment or benefit provided hereunder or otherwise in connection with a Change in Control or termination of employment. Such payments shall be made within five days after delivery of Employee's written requests for payment accompanied with such evidence of fees and expenses as the Company may reasonably require.
