Laws and Regulations; Rules of Building. Tenant shall comply with, and shall use its reasonable efforts to cause its employees, agents, visitors and invitees to comply with, all Legal Requirements relating to the use or occupancy of the Leased Premises, and with the rules of the Buildings reasonably adopted and altered by Landlord from time to time for the safety, protection, care and cleanliness of the Leased Premises, the Buildings and the Properties, the operation thereof, the preservation of good order therein and the comfort of the tenants of the Building and their agents, employees and invitees, consistent with Comparable Buildings, which rules and regulations shall be binding upon Tenant upon Tenant’s receipt of notice of the adoption or alteration of such rules and regulations (the “Building Rules”). In the event of a conflict between the provisions of this Lease and the Building Rules, the provisions of this Lease shall control. Landlord shall use its reasonable efforts to cause all tenants of the Buildings to comply with the Building Rules to the extent that failure to so comply will materially affect Tenant’s use or enjoyment of the Leased Premises. Landlord shall not enforce the Building Rules with respect to Tenant in a manner that is more restrictive than Landlord’s enforcement of the Building Rules as to any other tenants of the Building. Landlord shall not enforce Tenant’s compliance with Legal Requirements unless (a) Landlord’s failure to do so constitutes a violation of Legal Requirements by Landlord or makes Landlord liable for Tenant’s continuing violation, (b) Landlord is required to do so by any notice of violation, order, decree, permit, rule or regulation issued by any Governmental Authority or (c) Landlord’s failure to do so would, in Landlord’s reasonable opinion, endanger the health, safety or welfare of any person on or about the Leased Premises or the Properties.

Laws and Regulations; Rules of Building. Tenant shall timely comply with, and Tenant shall use its commercially reasonable efforts to cause its visitors, employees, agentscontractors, visitors agents and invitees to timely comply with, all Legal Requirements laws, ordinances, orders, rules and regulations (state, federal, municipal and other agencies or bodies having any jurisdiction thereof) relating to the use use, condition or occupancy of the Leased Premises, and with the rules of the Buildings Building reasonably adopted and altered by Landlord from time to time for the safety, protection, care and cleanliness of the Leased Premises, the Buildings Premises and the PropertiesBuilding, the operation thereof, the and for preservation of good order therein therein, all of which Building rules shall be consistently applied and the comfort of the tenants will be sent by Landlord to Tenant in writing and shall be thereafter carried out and observed by Tenant, its employees, contractors, agent, invitees and visitors. The current rules of the Building are attached hereto as Exhibit “D” and their agentsmade a part hereof for all purposes; provided, employees and invitees, consistent with Comparable Buildings, which rules and regulations shall be binding upon Tenant upon Tenant’s receipt of notice of the adoption or alteration of that such rules may be reasonably modified or supplemented by Landlord from time to time upon advance written notice thereof to Tenant, and regulations (the “Building Rules”). In the event of a conflict between the provisions of this Lease and the Building Rules, the provisions of this Lease shall control. provided further Landlord shall use its reasonable efforts to cause all tenants of the Buildings to comply with the Building Rules not make changes to the extent that failure to so comply will rules in Exhibit “D” which could materially and adversely affect Tenant’s use rights under the Lease or Tenant’s enjoyment of the Leased Premises. Landlord shall not enforce the Building Rules with respect to Tenant in a manner that is more restrictive than Landlord’s enforcement of the Building Rules as to any other tenants of the Premises or Building. Landlord shall not enforce Tenant’s compliance with Legal Requirements , unless such changes are (a) Landlord’s failure to do so constitutes a violation reasonably necessary for the safety of Legal Requirements by Landlord or makes Landlord liable for Tenant’s continuing violation, the Project and (b) Landlord is required to do so by any notice of violation, order, decree, permit, rule or regulation issued by any Governmental Authority or (c) Landlord’s failure to do so would, are customary in Landlord’s reasonable opinion, endanger the health, safety or welfare of any person on or about the Leased Premises or the PropertiesComparable First-Class Buildings.

Landlord shall not enforce Tenant’s compliance with Legal Requirements unless (a) Landlord’s failure to do so constitutes a violation of Legal Requirements by Landlord or makes Landlord liable for Tenant’s continuing violation, (b) Landlord is required to do so by any notice of violation, order, decree, permit, rule or regulation issued by any Governmental Authority or (c) Landlord’s failure to do so would, in Landlord’s reasonable opinion, endanger the health, safety or welfare of any person on or about the Leased Premises or the Properties.Property. Laws and Regulations; Rules of Building. Tenant Tenant, at Tenant's cost, shall comply withwith all Applicable Laws, and shall use its reasonable efforts to cause its employeesincluding without limitations any ADA (American with Disabilities Act) requirements, agents, visitors and invitees to comply with, all Legal Requirements relating to the use use, condition or occupancy of the Leased PremisesPremises by Tenant during the lease term. Notwithstanding the foregoing, Landlord is responsible, at Landlord's cost, to comply with ADA requirements in the restrooms located on the 4th and 5th floors as of the Commencement Date. All other compliances with Applicable Laws relating to the Building shall be at Landlord's sole cost and expense. Tenant will comply with the rules Rules of the Buildings reasonably Building adopted and altered by Landlord from time to time (including those attached hereto and made a part hereof) for the safety, protection, care and cleanliness of the Leased Premises, the Buildings Premises and the Properties, the operation thereof, the Building and for preservation of good order therein therein, all of which will be nondiscriminatory and the comfort of the uniformly applied to Landlord, Tenant and all other tenants of the Building and their agents, employees will be sent by Landlord to Tenant in writing and invitees, consistent with Comparable Buildings, which rules and regulations thereafter shall be binding upon Tenant upon carried out and observed by Tenant’s receipt of notice . A complete copy of the adoption or alteration Rules of such rules and regulations (the “Building Rules”). In in effect at the event time of a conflict between the provisions execution of this Lease is attached hereto and the Building Rules, the provisions of this Lease shall control. made part hereof as Exhibit D. Landlord shall use its exercise reasonable efforts diligence to cause all assure that Landlord and other tenants of the Buildings Building observe such Rules of the Building; provided, however, Landlord shall not be held responsible or liable for the failure of any other tenant to comply observe any Rules of the Building or any other provision of its lease. Notwithstanding anything to the contrary contained in this Section 3.03 or in the other provisions of the Lease, it is agreed that Tenant is neither responsible for latent defects existing as of the Effective Date discovered in the Leased Premises which shall be corrected or repaired by Landlord, at Landlord's sole cost and expense, nor responsible for complying with the legal and insurance requirements (collectively, "Building Rules Requirements"), when (a) such Building Requirements are imposed on a Building wide basis and do not relate to the extent that failure to so comply will materially affect Tenant’s 's particular manner of use or enjoyment of the Leased Premises. Landlord shall not enforce the Building Rules with respect to Tenant in a manner that is more restrictive than Landlord’s enforcement of the Building Rules as to any other tenants of the Building. Landlord shall not enforce Tenant’s compliance with Legal Requirements unless (a) Landlord’s failure to do so constitutes a violation of Legal Requirements by Landlord or makes Landlord liable for Tenant’s continuing violation, (b) Landlord is required to do so by any a notice of violationviolation or order was issued prior to the date Tenant is given possession of the Leased Premises, order, decree, permit, rule or regulation issued by any Governmental Authority or (c) Landlord’s failure to do so wouldsuch Building Requirements require investigating, certifying, monitoring, encapsulating, removing or in Landlord’s reasonable opinion, endanger the health, safety any way dealing with asbestos or welfare of any person Hazardous Materials existing on or about before the Leased Premises or the PropertiesEffective Date hereof.

Laws and Regulations; Rules of Building. Tenant Tenant, at Tenant’s cost, shall comply withwith all Applicable Laws, and shall use its reasonable efforts to cause its employeesincluding without limitations any ADA (American with Disabilities Act) requirements, agents, visitors and invitees to comply with, all Legal Requirements relating to the use use, condition or occupancy of the Leased PremisesPremises by Tenant during the lease term.
