Common use of Laws and Jurisdiction Clause in Contracts

Laws and Jurisdiction. The Contract shall be governed by and construed in accordance with the laws of the country in which Purchaser has its registered office, excluding however the United Nations Convention on Contracts for the International Sale of Goods. Any disputes which may arise out of or in connection with the Contract which cannot be settled amicably shall be brought before the competent court in the place where Purchaser has its registered office, which court shall have exclusive jurisdiction. Annex A - Specific provisions applicable in case of supply of Products These clauses apply to the extent Supplier supplies Products.
