Late Clause Samples

The "Late" clause defines the consequences and procedures that apply when a party fails to meet a specified deadline or deliverable under the agreement. Typically, this clause outlines any penalties, interest charges, or other remedies that may be imposed for late performance, such as late payment fees or the right to terminate the contract after a certain period of delay. Its core practical function is to incentivize timely performance and provide a clear framework for addressing delays, thereby reducing uncertainty and potential disputes between the parties.
