Landlord Consideration. 3.1 NMG shall pay to Landlord three (3) payments as set forth herein, for a total payment in the amount of Two Million Two Hundred Thirty-Three Thousand Seven Hundred Sixty-Five Dollars and 26/100 ($2,233,765.26) (“Landlord Consideration”) in cash and stock as follows:
Landlord Consideration. Lessor hereby acknowledges that it: (i) expects to derive benefits from this Agreement, and (ii) has determined that its execution, delivery and performance of this Agreement directly or indirectly benefit Lessor, are within its organizational purposes of Lessor, and are in its best interest.
