Land Services. Operator shall conduct all services related to the acquisition, divestiture, management and administration of the real property interests underlying the Pennsylvania Mine Complex.
Land Services. Service Provider shall provide all necessary land related, lease, division order and land administration services with respect to the Assets owned by the Company Group in the normal course of business, including the following (in each case, in the normal course of business): (a) review, analyze, respond to and perform all tasks related to the analysis of, and election to participate in, any well workover, recompletion, well-stimulation re-frac, or similar operations on the Assets; (b) administer, maintain and update all land records, Contracts and databases related to the Assets; (c) administer, maintain and update all Leases, operating agreements, and other Contracts related to the Assets; (d) administer, maintain and update all accounts, reports, databases and records associated with compulsory pooled interests related to the Assets; (e) verify and process all material internal and external division orders and transfer orders; (f) interface with operators and other non-operators who jointly own the Assets; (g) maintain all material land, Contract, division of interest, Lease files, and other files relating to the land administration functions; and (h) pay and discharge, on behalf of Company Group and as a Company Group Cost, any member of Company Group’s share of all expenses incurred under operating agreements, arrange for the timely and proper payment of Asset Taxes to any Governmental Authorities, make timely payment to royalty owners and third party working interest owners, and pay and discharge, on behalf of Company Group and as a Company Group Cost, all other liabilities related to the Assets.
Land Services. Provide all land related, lease, division order and land administration services with respect to the Assets, including the following: 14.1 Review, analyze and respond to all new well, workover and recompletion proposals. 14.2 Administer, maintain and update all land Records, contracts and databases related to the Assets. 14.3 Administer, maintain and update all leases, joint operating agreements, and other contracts related to the Assets. 14.4 Administer, maintain and update all accounts, reports, databases and Records associated with compulsory pooled interests related to the Assets. 14.5 Verify and process all internal and external division orders and transfer orders required in the normal course of business. 14.6 Interface with operators and other nonoperators who jointly own the Assets. 14.7 Maintain all land, contract, division of interest, lease files, and other files relating to the land administration functions. 14.8 Engage, manage and oversee all employees and contract landmen, brokers and title attorneys to evaluate, determine, and if necessary, clear title to lands associated with the ▇▇▇▇▇ and acreage comprising the Assets including the analysis of title opinions.
Land Services. After the Separation Date and through December 31, 2016 or so long as required under or in connection with any applicable JOA (or other agreement among the Founder, the Founder Affiliates and the Company and its affiliates), the Company will provide all land related, lease, division order and land administration services with respect to the Joint Interests of the Founder Affiliates, which services include, without limitation, the following: 10.1.1 Administering, managing, maintaining and complying with all leases and contracts relating to the Joint Interests, including, without limitation, any actions pursuant to applicable operating agreements such as well proposals, elections and voting; 10.1.2 Maintaining and updating all land records, contracts and databases relating to the Joint Interests; 10.1.3 Maintaining and updating all royalty payment reports and databases; 10.1.4 Maintaining and updating all royalty suspense accounts, reports and databases; 10.1.5 Maintaining and updating all accounts, reports and databases associated with compulsory or non-compulsory pooled interests related to the Joint Interests;
Land Services. Contractor shall provide land and lease administration services with respect to the Assets in accordance with the terms of this Agreement, including, without limitation, the following: (a) administering and maintaining Hydrocarbon leases and contracts constituting or relating to the Assets, including, without limitation, advising Owner and assisting as reasonably requested with respect to actions pursuant to applicable farm-out agreements, operating agreements (such as well proposals, elections and voting), submittal of AFEs and securing necessary approvals of non-operators, subject to the terms of such leases and contracts; (b) administering, generating, processing, verifying, preserving and maintaining and updating lease files, land records, maps and databases relating to the Assets, including maintaining and updating all royalty payment reports and databases, royalty suspense accounts, reports and databases, and all accounts, reports and databases associated with compulsory pooled interests related to the Assets, and, until such time as same are converted and transitioned into Owner’s systems, providing continued access to the same; (c) identifying, paying and appropriately invoicing rentals, shut-in payments and other payments required by the Hydrocarbon leases or other contracts relating to the Assets, including lease settlement, shut-in royalties, minimum royalties, payments in lieu of production, royalties, overriding royalties, production payments, net profit payments and other similar burdens that are associated with the ownership and operation of the Assets; (d) identifying, paying and appropriately invoicing rentals, surface and right-of-way payments required by the Hydrocarbon leases or other contracts relating to the Assets and, upon prior consent of Owner, negotiating and executing new surface use agreements and right-of-ways or extensions or renewals of those currently in existence; (e) in accordance with Owner’s prior written instructions, (1) obtaining lease amendments or other consents from royalty or mineral interest holders authorizing the pooling of Hydrocarbon leases, royalty and mineral interests, and (2) in Owner’s name, the extension and renewal of Hydrocarbon leases; (f) filing all necessary documents and reports in connection with any of the foregoing with appropriate local, state or federal agencies or recording offices; and (g) assisting Owner with the transfer from Contractor, if any, or acquisition from any applicable Governm...
