Labor Difficulties. iPrint is not and has not engaged in any ------------------ unfair labor practice and is not and has not been in violation of any applicable laws respecting employment, employment practices, terms and conditions of employment, wages and hours, overtime pay, temporary workers or workplace health and safety. There is no unfair labor practice complaint against iPrint pending or, to the knowledge of iPrint, threatened before any Governmental Entity. There is no strike, labor dispute, slowdown, or stoppage pending or, to the knowledge of iPrint (nor, to the knowledge of iPrint, does any valid basis for any such complaint exist), threatened against iPrint. iPrint is not and has not been subject to any union organizing activities. iPrint has not experienced any work stoppage or other labor difficulty. To the knowledge of iPrint, (i) the consummation of the transactions contemplated by this Agreement will not have a material adverse effect on its relations with the employees of iPrint, and (ii) none of the employees of iPrint intends to leave their employment, whether as a result of the transactions contemplated by this Agreement or otherwise.
