Labor and Performance. 1. At all times, Contractor shall utilize approved, qualified personnel and any Comptroller- approved subcontractors necessary to perform the services under this Agreement. Contractor shall advise the Comptroller promptly, in writing, of any labor dispute or anticipated labor dispute or other labor related occurrence known to Contractor involving Contractor’s employees or subcontractors which may reasonably be expected to affect Contractor's performance of services under this Agreement. The Comptroller may then, at its option, ask Contractor to arrange for a temporary employee(s) or subcontractor(s) satisfactory to the Comptroller to provide the services otherwise performable by Contractor hereunder. 2. Contractor shall Perform the Services consistent with applicable laws and industry standard and shall pay for all permits, licenses and fees required in connection with such Performance. 4. Contractor shall adhere to all Contractual provisions ensuring the confidentiality of Records that the Contractor has access to and are exempt from disclosure under the State’s Freedom of Information Act or other applicable law. 5. Contractor shall perform the Services under this Contract in a professional manner consistent with or exceeding the standards of the applicable industry.

Notwithstanding anything herein contained to the contrary, Contractor may subcontract all or any portion of the Services to one or more Affiliates of Contractor. To the extent allowable by applicable law, Contractor shall bill and be paid or reimbursed for all such subcontracted Services. For purposes of this Agreement, “Affiliate” shall mean any entity controlling, controlled by or under common control with Contractor that is duly licensed to provide laboratory services in the Connecticut.
