Common use of Knowledge Defined Clause in Contracts

Knowledge Defined. References to the "knowledge" of Seller shall refer only to the current actual knowledge of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇▇ and shall not be construed, by imputation or otherwise, to refer to the knowledge of any affiliate of Seller, to any property manager, or to any other officer, agent, manager, representative or employee of Seller or any affiliate thereof or to impose upon such person any duty to investigate the matter to which such actual knowledge, or the absence thereof, pertains.

Knowledge Defined. References to the "“knowledge" ” of Seller shall refer only to the current actual knowledge of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, III and ▇▇▇ ▇▇▇▇▇▇▇▇▇, who are principals of Sellers, and shall not be construed, by imputation or otherwise, to refer to the knowledge of Seller, its members and investors, or any affiliate of Seller, to any property managerof them, or to any other officerof their officers, agentagents, managermanagers, representative representatives or employee of Seller or any affiliate thereof employees or to impose upon such person any duty to investigate the matter to which such actual knowledge, or the absence thereof, pertains.

Knowledge Defined. References to the "knowledge" knowledge of Seller (“Seller’s Knowledge”) shall refer only to the current actual knowledge of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇▇ the Designated Employees (as defined in this Section 5.2 below) of Cousins Properties Incorporated, and shall not be construed, by imputation or otherwise, to refer to the knowledge of any affiliate of Seller, to any property manager, or to any other officer, agent, manager, representative or employee of Seller or any affiliate thereof or to impose upon such person any duty to investigate the matter to which such actual knowledge, or the absence thereof, pertains.,

Knowledge Defined. References to the "“knowledge" ” of Seller shall refer only to the current actual knowledge of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇▇ , whom Seller represents is an employee of Seller who is most directly involved in the oversight of the day to day operations of Seller and shall not be construed, by imputation or otherwise, to refer to the knowledge of any affiliate of Seller, to any property manager, or to any other officer, agent, manager, representative or employee of Seller or any affiliate thereof or to impose upon such person any duty to investigate the matter to which such actual knowledge, knowledge or the absence thereof, pertains.

References to the "“knowledge" ” of Seller shall refer only to the current actual knowledge of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇ and ▇▇▇▇▇▇ -May ▇▇▇▇▇▇▇▇, and shall not be construed, by imputation or otherwise, to refer to the knowledge of Seller, or any affiliate of Seller, to any property managerManager, or to any other officer, officer agent, manager, representative representative, advisor, or employee of Seller or any Manager, or an affiliate thereof or to impose upon such person designated employee any duty to investigate the matter to which such actual knowledge, or the absence thereof, pertains.

Knowledge Defined. References to the "“knowledge" ” of Seller shall refer only to the current actual knowledge knowledge, without investigation or inquiry, on the Effective Date and on the Closing Date, as applicable, of the Designated Representative (as hereinafter defined) of Seller.
