KEY STAFF REPLACEMENT. The Contractor must commit to the continuing availability and participation of the staff filling the Key Staff roles, to the extent of the Contractor’s control, for the duration of the Project or for their proposed period of involvement (as defined in the master project schedule). Except in the case of a leave of absence, sickness, death, retirement, termination or resignation of employment or association, or leaving Contractor’s employment and not serving as a consultant or contractor to Contractor, or other circumstances outside the reasonable control of Contractor, the individuals designated to fill any of the Key Staff roles in Contractor’s Response shall not be removed by Contractor from performing their assigned tasks during the period of performance for each such individual, as described in the Contractor’s Response, without the prior written approval of State. The State of California Department of Public Health recognizes that a resignation or other events may cause Contractor Project team members to be unavailable. The State of CCRS Project Director shall approve or deny all the Contractor’s proposed replacement project team members designated to fill any one of the Key Staff roles.
