KALLIKREIN LLC UNDERTAKINGS; SUBLICENSES. In consideration of the licenses to be granted under this Section 3.1, Kallikrein LLC will undertake to pay all royalties, sublicense fees and other costs or expenses payable to Third Parties associated with the acquisition or use of such licenses by Kallikrein LLC for use in connection with the Program. Except as provided in Section 3.2 below, all sublicenses granted by Kallikrein LLC shall be subject to prior approval by the Steering Committee.
