Common use of Judgments, Lawsuits, Actions or Proceedings Clause in Contracts

Judgments, Lawsuits, Actions or Proceedings. Purchaser represents and warrants to Seller that there are, to the best of Purchaser’s knowledge, no judgments, lawsuits, actions or proceedings, pending or threatened, whether involving a governmental authority or private party, against Purchaser (or any member entities), that, if decided adversely against Purchaser (or any member entity), would prevent it from fulfilling its obligations hereunder or under this Agreement.
