Joint Covenants For Ongoing Disclosures. Each Party covenants to each other Party as follows: a. To promptly notify the other Party of any facts that would cause any of the representations contained in the Agreement to be materially untrue during the term of this Agreement. b. To promptly notify the other Party of any facts or circumstances that would impair the obligated Party’s ability to perform its obligations hereunder. c. To comply with all applicable ordinances, statutes, regulations, and other laws with respect to their general operations and the performance of all obligations and duties under this Agreement.
