Joint Commercialization Committee or JCC. Upon the first exercise of a Merck Participation Election, then within [***] days after the Merck Participation Election Date, subject to the oversight of, and without limiting the authority of, the Joint Steering Committee, the Parties hereby establish a joint commercialization committee (the “Joint Commercialization Committee” or “JCC”). During the Merck Participation Term for a given Program, the JCC will oversee and facilitate the Commercialization of Collaboration Products for such Program as follows:
